A contractual agreement system between the actual owner of a company and the nominees, can either be a Director/Shareholder or both; are called nominee services.

For business owners who incorporate their companies in foreign jurisdictions that want to maintain the confidentiality of the corporate structure and conceal the identity of the business owners, an alternative option offered to these clients is the nominee services. In some cases, the Nominee Director/Shareholder is served as the stand-in for the beneficial owners and they don’t have any control over the businesses unless they have instructions from the business owners to act upon.

Other than the reason business owners use nominee services to conceal their identities from the public, there are other reasons that make the nominee services compelling such as some jurisdictions required a local Director which the nominees can be appointed as or the factor that the nominee Director of another nationality represents your incorporated company.

1. Nominee Director

With the Nominee Director, your information will not be disclosed on Government and the company’ documents while you can remain your full control over your company through the Power of Attorney (POA)

A Power of Attorney (POA) is an agreement between you and the Nominee Director, they will represent or act on behalf of you in your company. The nominee director will not be involved in any operational activities of your company.

Required documents:

Copy of passport and residential addresses proof of all directors. If the director is another corporation, please provide us with the Company’s documents such as Certificate of Incorporation, M&AA, Registered of Director/Shareholder, etc.

2. Nominee Shareholder

Like a Nominee Director, the Nominee Shareholder will act on behalf of you in your company. Your information will not be disclosed on the Government and the company’s documents. The agreement between you and the Nominee Shareholder is called the Declaration of Trust (DOT).

A Declaration of Trust (DOT) is an agreement in which the Nominee Shareholder is appointed to hold shares in the company for you, but you are named as being the real owner who has full ownership over your shares.

Required documents:

Copy of passport and residential addresses proof of all shareholders. If the shareholder is another corporation, please provide us with the Company’s documents such as Certificate of Incorporation, M&AA, Registered of Director/Shareholder, etc.

Amount of share capital and percentage of shareholdings.
